Black Day Card Terms of Use

These Terms govern your access to and use of the services provided by Black Day Card, including, without limitation, services available through our Telegram bot and any other officially designated platforms or communication channels (“Platforms”) as determined by Black Day Card from time to time.

Formation of the Terms and scope

The Terms govern the provision of Black Day Card services to the Client, allowing the Client to send and receive services provided by Black Day Card.

By accessing the Bot or using any related services, you agree to be legally bound by these Terms and by any additional policies, terms, or notices presented to you. If you do not agree to these Terms, do not access or use the Services.

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Black Day Card (“Black Day Card”, “we”, “us”, or “our”). We recommend reviewing these Terms periodically, as Black Day Card reserves the right to make changes at any time in accordance with Section 10 below.

Applicability

These Terms apply to both individual and corporate users unless expressly stated otherwise.

By using Black Day Card services, the Client agrees to these Terms.

The Client is encouraged to read the Terms carefully. If any provision is unclear or requires clarification, the Client should contact Black Day Card for further information.

It is recommended that you print or download a copy of the Terms and fee schedule for future reference. The latest version of the Terms is always available in the Bot.

Definitions

Authentication tool — a mobile authentication application, or a combination of a static password and a one-time password, used to authenticate the Client or confirm the use of a payment instrument.

Business day — any day other than Saturday, Sunday, an official public or banking holiday, or another non-business day previously announced by Black Day Card.

Bot — the official Telegram bot maintained and operated by Black Day Card and used as an interface for providing the Services to Users.

Platform(s) — any other officially designated digital application, website, or interaction environment determined by Black Day Card for providing the Services.

Services — any and all features, products, tools, and operations provided by Black Day Card through the Bot or Platform, including, without limitation: crypto asset exchange, card purchase capability, balance storage, and any related services that may be offered from time to time.

User or Client — any natural or legal person that accesses, interacts with, or otherwise uses the Services directly or indirectly.

AML (anti-money laundering) — procedures aimed at detecting, preventing, and reporting suspicious financial activity. Black Day Card implements AML checks in cooperation with external qualified service providers.

External service provider — any external person or organization (service provider, contractor, or technology platform) engaged by Black Day Card to provide or support the operation of the Services, including, without limitation:

  • Telegram API (messaging interface),

Restricted territories — jurisdictions in which Users are prohibited or restricted from using the Services.

Digital asset — a digital representation of value, including, without limitation: cryptocurrency, virtual currency, tokens, or other cryptographically secured units of account transferable using blockchain technology or a similar system.

Card — any virtual or physical payment card provided to the User directly or through Black Day Card with the involvement of authorized issuers and subject to separate terms, where applicable.

Customer support — Black Day Card support available through channels indicated in the Bot or mobile application. Support, verification, and request handling are provided only during Black Day Card business hours (07:00 to 22:00 Central European Time). The schedule may be updated, and the Client must independently check current information in the Bot.

Fees

Fees — charges payable by the Client to Black Day Card for use of its services. Fee information is available in the Bot pricing section / directly in the Bot.

Parties

Parties — Black Day Card and the Client.

Black Day Card — the platform operator, IRGA LLP, a company incorporated under the laws of the Republic of Kazakhstan, with its registered office at 65 Karelskaya Street, Turksib District, Almaty, Kazakhstan.

Terms

Terms — these Terms as published in the Bot, which may be updated from time to time.

Services provided

Black Day Card provides Users with access to a range of digital-asset-related features through the Telegram bot and other officially designated Platforms (the “Services”). The scope of the Services includes, without limitation, the following:

3.1 Asset exchange

Users may exchange supported virtual assets through the interface provided by Black Day Card. The exchange feature is available directly in the Bot and allows users to initiate and complete asset conversion transactions, subject to applicable fees and conditions shown in the interface.

3.2 Card purchase

Black Day Card enables Users to purchase virtual and/or physical payment cards (“Card Services”) through authorized third-party issuers. Card issuance, delivery, activation, and use are governed by separate terms and may vary by jurisdiction and applicable restrictions. Black Day Card provides access to these services and discloses pricing and procedures through the Bot at the time of the transaction.

3.3 Wallet-like functionality

Although Black Day Card does not provide custodial wallet services and does not host wallets on-chain, Users may interact with internal balances related to Services such as card purchases, asset exchange, and settlements. These balances are managed using third-party infrastructure and procedures and are not official electronic wallets within the meaning of financial regulation.

3.4 Transaction execution

All transactions initiated through the Services are processed using integrated third-party infrastructure. Once a transaction is executed, the related order is final and binding. The User is solely responsible for verifying all input data before submission. Black Day Card reserves the right to refuse or cancel any transaction if it suspects a breach of these Terms or applicable law.

3.5 Know Your Customer (KYC) and anti-money laundering (AML) procedures

Black Day Card applies Light KYC (simplified identity verification) of Users. The company also implements and complies with AML procedures in cooperation with authorized third-party providers. Transaction behavior may be monitored, and certain actions may be subject to enhanced checks or restrictions under applicable AML obligations.

Black Day Card reserves the right to refuse or restrict access to the Services where necessary to comply with AML requirements, or where User activity is deemed suspicious, unlawful, or incompatible with the Platform’s integrity principles.

Black Day Card reserves the right to change or replace compliance providers at any time without prior notice, provided such changes do not reduce the AML protection required by law.

Third-party services and integrations

To provide its Services stably and lawfully, Black Day Card uses various third-party services, platforms, and technology partners. These third-party providers support key functions, compliance controls, operational processes, and transaction execution within the Black Day Card ecosystem.

The User acknowledges and agrees that use of the Services involves technical and legal integration with such third-party providers, and that certain aspects of the Services may be governed by those providers’ terms of use and policies.

4.1 Core infrastructure and functional integrations

Black Day Card uses and integrates the following third-party technologies to operate its Platform:

  • Telegram API — used as the primary interaction and user interface layer. All communication between the User and Black Day Card occurs through Telegram infrastructure. Black Day Card does not control the operation, availability, or security of the Telegram platform itself and is not responsible for its outages, suspensions, or unauthorized access.

Card issuer (third party) — Payment cards offered through the Black Day Card platform are issued and managed by a licensed third-party card issuer. Black Day Card acts solely as an intermediary providing access to such cards and does not issue, store, or manage payment cards or related balance accounts. The relationship between the User and the card issuer is governed by the issuer’s separate terms and policies, which the User must accept when ordering or activating a card.

4.2 Scope of liability and disclaimers

Although Black Day Card seeks to select reputable and industry-recognized third-party providers, the company gives no express or implied warranties regarding the uninterrupted availability, security, or legal compliance of such external services. The Services are provided “as is” and “as available”, and Black Day Card is not responsible for:

  • any technical failure, downtime, error, or delay caused by third-party providers;
  • any direct or indirect damage or loss arising from a third-party provider’s failure or actions;
  • the privacy practices, data-processing operations, or legal compliance of such third-party providers;
  • acts or omissions by Telegram, the Card issuer, or any other integrated platform not under Black Day Card’s direct control.

Users are encouraged to review the applicable terms of use and privacy policies of each third-party provider referenced in this document. Use of any feature provided by such third parties is subject to those terms.

Black Day Card reserves the right, at its sole discretion, to change, replace, or remove any third-party provider with or without notice, provided such changes do not materially reduce the availability or security of the Services.

User registration and data

5.1 No account registration

Black Day Card does not require traditional user account registration or creation of a login and password. Users may access and interact with the Services directly through the Black Day Card Telegram bot by starting a conversation and selecting available features. There is no need to set a username, password, or create a user profile. Access to the Services is session-based and limited to the messaging interface provided by Telegram or other officially designated Platforms.

5.2 Minimal data collection

In providing the Services, Black Day Card collects and processes only the minimum data necessary for technical operation, service delivery, and compliance with applicable regulatory requirements. Categories of collected data may include:

  • Telegram user ID and username;
  • Phone number (optional);
  • IP address and device information (for example, device type, operating system);
  • Technical metadata and event logs related to service use and transactional activity;
  • Card-related activity (for example, balance, transaction history, where applicable).

5.3 Privacy and data processing

All personal and technical data collected in connection with the Services is processed in accordance with the Black Day Card Privacy Policy, which forms an integral part of these Terms. Black Day Card acts as a data controller in respect of user information and applies appropriate technical and organizational measures to protect such data against unauthorized access, alteration, disclosure, or destruction.

The User acknowledges and agrees that certain categories of data may be shared with third-party service providers solely for the purpose of providing the Services, conducting compliance checks, and ensuring system operation. Such third parties include, without limitation, Telegram (messaging platform).

Black Day Card does not sell or use user data for commercial purposes.

5.4 Consent and limitation of liability

By using the Services, the User consents to the collection and limited sharing of data as described above. Black Day Card is not responsible for unauthorized access to or leakage of data arising from vulnerabilities outside the company’s reasonable control, including vulnerabilities related to Telegram or other integrated platforms.

Users are strongly advised not to share unnecessary personal information when using the Services.

Fees and payment of transactions

6.1 Service fees

Black Day Card provides the Services subject to fees set for certain transaction types, including, without limitation, digital asset exchange, card issuance, and withdrawals. The User agrees to pay all such fees as shown in the Black Day Card bot interface at the time the relevant action is confirmed (the “Service Fee”). All fees are displayed transparently before execution, and the User must expressly confirm them before proceeding. Black Day Card does not charge hidden or retroactive fees.

6.2 Quoted price and volatility notice

The price displayed when exchanging digital assets (the “Price”) reflects the then-current indicative rate at the time of the User’s request. Due to the high volatility of digital asset markets, the Price shown when a transaction is initiated may differ from the final execution price. Black Day Card does not guarantee the stability or permanence of any quoted Price.

6.3 Final price and execution

The final rate applied to a transaction (the “Final Price”) is the rate displayed in the Bot interface immediately before the User’s confirmation. By confirming a transaction, the User authorizes Black Day Card and/or its integrated service providers to execute the transaction at the Final Price and to deduct the applicable Service Fee.

Once confirmed, the transaction is processed as promptly as practicable. Until actual execution, the transaction request is pending and non-binding. Black Day Card is not responsible for any fluctuations, losses, or discrepancies caused by processing delays, technical delays, or blockchain-related delays.

6.4 Delivery and confirmation

After execution, Black Day Card will send the User a transaction confirmation through the Bot, including the Final Price, exchange or payout amount, and deducted fees. For card issuance or fiat withdrawal, Black Day Card will submit the transaction request to the relevant partner platform, and settlement will depend on that third-party platform’s processing times.

6.5 Irreversibility of transactions

The User acknowledges that all executed transactions are final, non-cancellable, and non-refundable, including digital asset, fiat payout, or card operations. Black Day Card is not obliged to amend, cancel, or refund any transaction after User confirmation, regardless of error, change of intent, or price change. Nevertheless, Black Day Card may, at its sole discretion and without obligation, consider a User cancellation request if the transaction has not yet been executed.

6.6 Wallet ownership

For any transaction involving external delivery (for example, receipt of digital assets), the User represents and warrants that the specified wallet or payee address is fully owned and controlled by the User. Black Day Card is not responsible for verifying lawful ownership of an address, or for losses caused by use of an incorrect, compromised, or unauthorized address.

6.7 Right to refuse processing

Black Day Card reserves the right to reject, cancel, or delay execution of any transaction at any time without liability if:

  • required by law, regulation, or an order of a competent authority;
  • the transaction is suspected of violating these Terms, AML rules, or applicable legal requirements;
  • the transaction exceeds internal volume or frequency limits;
  • in Black Day Card’s sole discretion, the transaction presents reputational, financial, legal, or technical risk.

Black Day Card may take additional protective measures, including freezing or suspending a transaction pending further review.

6.8 User responsibility

The User is solely and exclusively responsible for ensuring sufficient funds to cover the full transaction amount and applicable fees. Black Day Card may refuse to execute a transaction if funds are insufficient at the time of confirmation. In any event, Black Day Card is not responsible for indirect or consequential losses arising from failed or delayed processing.

6.9 No-refund policy

Fees paid for completed Services (for example, a successful exchange, card issuance, or withdrawal) are non-refundable. The User has no right to claim compensation except as required by applicable law, or if the transaction was not executed due to a technical cause attributable to Black Day Card.

7.1 Lawful use obligation

By accessing or using the Services, the User agrees to comply with all applicable laws, rules, and regulations of their country of residence, as well as those governing the use of virtual assets, payment services, and digital platforms internationally.

The Services may be used only for lawful purposes and in accordance with these Terms. Any use of the Services in connection with criminal, fraudulent, or unauthorized activity is strictly prohibited.

7.2 Prohibited activity

The User must not use the Services, directly or indirectly, to engage in, support, promote, or facilitate any of the following (non-exhaustive) activities:

  • Money laundering, terrorist financing, or violation of anti-money laundering (AML) laws;
  • Fraud, extortion, identity theft, or unauthorized access to third-party accounts;
  • Transactions related to child exploitation, violence, hate crimes, or illegal content;
  • Unregistered gambling, betting, or lottery services;
  • Trading in prohibited goods or services, including sending or receiving payments for goods or services related to child exploitation, violence, hate content, weapons, firearms, unlicensed gambling, counterfeit or pirated products, tobacco products, negative-option subscription services requiring cancellation, services lasting more than one year, direct marketing schemes with unused incentives (“breakage”), multi-level marketing, unauthorized supply-chain interference (“up supplying”), grey market activity, inbound and outbound telemarketing services, reverse auctions, raffles, lotteries, financial pyramids, and any services that facilitate illegal activity, environmentally destructive businesses, trade in protected species, religious organizations, unlicensed money transfers (for example, Hawala), bearer-share companies, unregulated businesses requiring licensing, Ponzi and pyramid schemes, conflict diamond trading, adult content (including streams, webcams, and offensive materials), fraudulent trading schemes, land scams, carbon credit trading, political parties, offshore banks, adult entertainment businesses, drug paraphernalia, and organizations linked to terrorism, such as Al-Qaeda, the Taliban, and persons listed under the Justice for Victims of Corrupt Foreign Officials Act. Black Day Card reserves the right, at its sole discretion, to expand this list;
  • Use of third-party payment instruments or wallets without lawful rights or authorization;
  • Interference with AML systems, circumvention of transaction controls, or access restrictions;
  • Use of automated means, bots, or vulnerabilities to manipulate the Services or infrastructure.

It is the Client’s duty, not Black Day Card’s, to ensure the legality of goods/services provided or acquired. The mere fact that a natural or legal person accepts payments through Black Day Card does not indicate that their activity is lawful. If the Client has doubts about the legality of a transaction, they must not make the payment. The Client is also responsible for entering details correctly to avoid errors and extra charges.

7.3 Restricted territories

Black Day Card does not provide Services to Users located in countries or regions subject to international sanctions, embargoes, or financial restrictions.

Access to the Services is strictly prohibited for Users who are citizens, residents, or located in any of the following jurisdictions (the “Restricted Territories”):

Black Day Card does not offer, advertise, or provide its crypto Services to natural or legal persons who are citizens, residents, or located in a jurisdiction where such restriction is required by local law, regulation, or a competent regulator’s directive.

In particular:

  • United Kingdom: Black Day Card and its technology/compliance partners are not registered or authorized by the UK Financial Conduct Authority (FCA). Black Day Card does not partner with an FCA-approved firm and therefore may not offer cryptoasset services to UK residents. This measure is required to comply with the Financial Services and Markets Act 2000 (as amended) and FCA cryptoasset promotion requirements from 2023.
  • United Arab Emirates (UAE): Black Day Card is not licensed by the Virtual Assets Regulatory Authority (VARA) or other federal or emirate-level UAE regulators. Given mandatory licensing requirements for Virtual Asset Service Providers (VASPs) in the UAE and to avoid regulatory sanction risks, Black Day Card does not provide services to Users located in or accessing from the UAE. Black Day Card does not advertise, promote, or offer any virtual-asset-related services in the UAE. Any mentions of Black Day Card on social media or in third-party materials are not considered public advertising in the UAE. Access to and use of the Services by persons located in the UAE is strictly prohibited.
  • Japan: The Japanese Financial Services Agency (JFSA) requires all virtual currency exchange service providers to be registered and to comply with extensive licensing and reporting requirements under the Payment Services Act. Black Day Card is not registered with the JFSA and therefore does not serve residents or citizens of Japan.

United States

Black Day Card is not registered as a Money Services Business (MSB) with the U.S. Financial Crimes Enforcement Network (FinCEN) and does not hold state-level licenses within the United States. Under FinCEN requirements and applicable state laws, providing crypto services without proper registration is prohibited. Accordingly, Black Day Card does not offer or promote its Services to U.S. residents or persons located in the United States of America.

Other jurisdictions

Black Day Card reserves the right to restrict or discontinue its Services in any other jurisdiction where required by local law, regulation, or an order of a competent authority.

In addition, Black Day Card does not provide access to its Services — including card issuance and withdrawal features — to Users who are located in, resident of, or using documents issued in the following countries:
Iran, North Korea, Syria, Venezuela, Afghanistan, Belarus, Cuba, Myanmar, Somalia, and Ukraine.

The Client may not use Black Day Card services if they reside in any country included on the FATF blacklist, the OFAC sanctions list, or other sanctions lists or regulatory recommendations. This list is not exhaustive, and Black Day Card may, at its discretion, restrict or discontinue Services in other countries at any time without prior notice.

Use of the Services is also strictly prohibited for users whose names appear on official lists of sanctioned persons or entities, including, without limitation:
the U.S. SDN (Specially Designated Nationals) list and the EU Consolidated Sanctions List.

By using the Services, the User represents and warrants that they:

  • are not located in a Restricted Territory,
  • are not subject to any sanctions or trade restrictions,
  • are not acting on behalf of sanctioned persons or entities.

Black Day Card reserves the right at any time to refuse access, suspend transactions, or permanently restrict access to the Services for any User or region if it deems such measures necessary to comply with law or its internal risk management policy.

Limitation of liability

8.1 General disclaimer of warranties and right to perform maintenance

To the maximum extent permitted by law, the Services are provided “as is” and “as available”.
Black Day Card gives no express or implied warranties regarding the availability, reliability, performance, or accuracy of the Services, or of any data, transactions, or content provided through the Bot or Platform.

Black Day Card may perform scheduled and unscheduled maintenance, updates, and system improvements, which may result in temporary outages, partial unavailability, or suspension of access to the Services. Black Day Card is not responsible for delays, missed opportunities, or financial losses caused by such periods of unavailability.

The User must independently assess their financial position, technical knowledge, and risk tolerance before using Black Day Card Services.
Use of the Services is solely at the User’s own risk.

8.2 Limitation of liability for User actions

Black Day Card is not responsible for damage, losses, or liabilities arising from:

  • the User’s failure to comply with these Terms or applicable laws;
  • errors in data entry, confirmation, or execution of transactions by the User (including errors in amounts, addresses, or instructions);
  • misuse or abuse of the Services;
  • unauthorized access to the Services due to the User’s failure to secure their Telegram account or device;
  • use of the Services in breach of established restrictions.

The User is fully responsible for verifying all transaction details and for the lawful use of the Services.

8.3 Limitation of liability for third-party services

Black Day Card is integrated with various independent third-party providers, including (without limitation):
Telegram and the Card issuer.

Black Day Card is not responsible for:

  • outages, errors, or failures caused by such third-party services;
  • delays, losses, or damage arising from acts, omissions, or technical failures of third-party platforms;
  • breaches of data protection, privacy, or contractual obligations by such providers;
  • suspension or deactivation of User access due to third-party risk or compliance decisions.

Use of third-party services is at the User’s own risk and is governed by those providers’ own terms of use.

8.4 Technical failures and force majeure

(a) No warranty of uninterrupted operation

Black Day Card expressly disclaims any warranty that the Services will operate without outages, delays, or errors. Given dependence on third-party infrastructure, APIs, and distributed networks, interruptions may occur for reasons beyond Black Day Card’s control. The User expressly acknowledges that such interruptions do not constitute a breach of the Terms.

(b) Dependence on the Telegram platform

Because the Services are provided primarily through a Telegram bot interface, Black Day Card depends entirely on Telegram’s availability and stable operation.
Any restriction, block, Telegram infrastructure failure, or policy change — caused by Telegram, a state authority, a DDoS attack, or regional restrictions — may result in full or partial unavailability of Black Day Card Services.

Black Day Card is not responsible for any access issues caused by Telegram, including:

  • blocking or deletion of the Black Day Card Telegram bot;
  • regional Telegram blocks or IP restrictions;
  • device incompatibility or User-side configuration errors;
  • Telegram API delays or message delivery failures.

(c) Third-party infrastructure and service providers

Black Day Card is not responsible for the continuous operation, commercial availability, or uninterrupted performance of such services.
Technical errors, configuration failures, or outages on those platforms may cause downtime, transaction delays, or loss of functionality.

(d) Blockchain network factors

When providing Services related to crypto operations or blockchain technologies, Black Day Card does not control the underlying networks.
Block confirmation delays, chain reorganizations, or network congestion may affect the speed, reliability, or finality of transactions.
Black Day Card is not responsible for:

  • missed exchange rates due to delayed execution;
  • failed or “orphaned” blockchain transactions;
  • gas fee fluctuations or delays caused by transaction priority;
  • inability to complete a transaction due to network unavailability.

(e) Force majeure circumstances

Black Day Card is not responsible for failures or delays in performing its obligations if caused by circumstances beyond Black Day Card’s reasonable control (“Force Majeure”). Such circumstances include, in particular:

  • natural disasters, catastrophes, or severe weather;
  • armed conflicts, civil unrest, terrorist acts, or sabotage;
  • states of emergency, martial law, or military operations;
  • pandemics, epidemics, or quarantine restrictions;
  • regulatory intervention, government orders, embargoes, or sanctions;
  • failures of third-party telecommunications, hosting, DNS infrastructure, or power supply;
  • labor disputes, strikes, or lockouts (not involving Black Day Card personnel);
  • zero-day attacks or information security incidents outside Black Day Card infrastructure;
  • legal prohibitions or withdrawal of regulatory authorizations.

In the event of Force Majeure:

  • Black Day Card is released from performing its obligations under these Terms to the extent and for the period that performance is impossible, hindered, or delayed;
  • Black Day Card will use reasonable commercial efforts to minimize the impact and restore operations as soon as practicable;
  • the User has no right to compensation, refunds, or damages in connection with delays, suspension, or discontinuation of the Services.

(f) Pending transactions during interruptions

If the User initiates a transaction before or during a technical failure or force majeure event, Black Day Card cannot guarantee its execution, finality, or correctness. In such cases:

  • transactions may remain pending until systems are restored;
  • transactions may be cancelled by Black Day Card for operational or risk reasons;
  • exchange rates or conditions at the start of the operation may no longer be valid;
  • card orders or withdrawals may be delayed or rejected.

(g) No service level agreement (SLA)

Black Day Card provides no uptime guarantees and does not enter into an SLA (Service Level Agreement).
The Services are provided on a best-effort basis. The User agrees that technical availability depends on a complex system of distributed services and that short or prolonged interruptions may occur.

8.5 Indirect and consequential damages

To the maximum extent permitted by law, Black Day Card is not liable for any indirect, incidental, special, punitive, or consequential damages of any kind, including, without limitation:

  • lost revenue, profit, reputation, or business opportunities;
  • loss of data or digital assets;
  • reputational harm or inability to access the Services.

Termination

9.1 Termination by the User

The User may stop using the Services at any time by submitting a written request through official Black Day Card channels indicated in the Bot.

The request must clearly identify the User account associated with use of the Services. Black Day Card reserves the right to request additional information or identity confirmation to prevent unauthorized or fraudulent requests.

After successful verification, Black Day Card will deactivate the User’s access to the Services. However, Black Day Card is not obliged to delete or return any data, transaction history, or results of Services provided, unless required by law. All User obligations arising before termination (including fees, transaction errors, and breaches) survive and remain enforceable.

No refund or compensation is provided for User-initiated termination. Black Day Card is not responsible for loss of access, opportunities, or funds related to such termination.

9.2 Termination or suspension by Black Day Card

Black Day Card reserves the unconditional right to suspend, restrict, or permanently terminate the User’s access to any or all Services — with or without notice, at its sole discretion and without stating reasons — especially in the following cases:

(a) Technical or operational reasons:

  • maintenance or decommissioning of infrastructure;
  • removal of the Bot from Telegram or a change in Platform architecture;
  • failures or loss of functionality due to a third-party provider’s actions;
  • migration, redesign, or discontinuation of the business model or Services.

(b) Legal, regulatory, or policy reasons:

  • compliance with law, a court order, sanctions, or a regulatory prohibition;
  • fulfillment of obligations to licensed partners;
  • detection of potentially unlawful or unauthorized use of the Services.

  • breach of these Terms, especially Section 7 (Prohibited use);
  • use of the Services for fraudulent, deceptive, or harmful purposes;
  • attempts to circumvent security systems or AML controls;
  • identity spoofing, false data, or use of fake accounts.

(d) Risk-related grounds:

  • detection of suspicious transactional activity (for example, sanctions evasion, “smurfing”);
  • signals or notices from third-party AML providers;
  • prior breaches of Black Day Card Terms, including via related Telegram IDs.

Black Day Card is not liable

Black Day Card is not liable to the User or third parties for any damages, claims, losses, or expenses arising from suspension or termination of access, including, without limitation, lost profits, loss of access, or expected outcomes of pending transactions.

9.3 Consequences of termination

Upon termination (initiated by the User or by Black Day Card):

  • the User must immediately stop using the Services;
  • Black Day Card may cancel, suspend, or block any pending or unconfirmed transactions;
  • Black Day Card is not obliged to restore, re-execute, or refund transactions or instructions lost due to termination;
  • Black Day Card may retain personal data, transaction logs, and metadata in accordance with the Privacy Policy, internal compliance programs, and data retention laws;
  • the User remains responsible for any outstanding obligations, regulatory investigations, or damage caused to Black Day Card systems, business, or reputation.

Re-access to the Services after termination is strictly prohibited, unless Black Day Card has granted express written permission. Black Day Card reserves the right to reject any re-access attempts from the same User or related Telegram IDs or devices.

9.4 Finality and no right of appeal

The User expressly agrees that Black Day Card has a unilateral right (but not an obligation) to terminate or restrict access to the Services without prior notice, court proceedings, or explanation of reasons, where necessary to protect Black Day Card’s legal, commercial, or reputational interests.

All such decisions are final, and Black Day Card is not obliged to restore access or provide compensation unless required by law.

Changes

10.1 Right to make changes

Black Day Card reserves the right at any time and at its sole discretion to amend, supplement, or fully replace these Terms (in whole or in part) without any obligation to obtain the User’s consent. Such changes may reflect changes in:

  • the nature or scope of the Services provided;
  • applicable law or licensing requirements;
  • technological infrastructure or third-party integrations;
  • risk management policy;
  • commercial terms, pricing policy, or business model.

Changes may include edits to legal definitions, obligations, limitations of liability, jurisdiction, and other material provisions.

10.2 Notices of changes

Black Day Card will notify Users of material changes via a message in the Telegram bot or through other official communication channels (for example, a system message). Updated versions of the Terms may also be available via a hyperlink in the bot or in a designated public repository.

The User acknowledges and agrees that:

  • such notice is a sufficient and valid method of informing;
  • the User is solely responsible for monitoring notices and reviewing the current version of the Terms;
  • Black Day Card is not obliged to provide personal, individualized, or legally certified notices.

10.3 Effective date of changes

Unless otherwise stated, all changes take effect immediately upon publication or on the date stated in the notice (the “Effective Date”).

Continued use of the Services after that date constitutes the User’s full and irrevocable acceptance of the updated Terms.

If the User does not agree to the changes, their sole remedy is to stop using the Services and submit a termination request under Section 9.

Black Day Card is not responsible for any losses, failures, or damages related to changes to the Terms or exercise of the right to terminate.

Governing law and dispute resolution

11.1 Governing law

These Terms, and any disputes, claims, or disagreements arising in connection with them or with use of the Services, are governed by and construed in accordance with the laws of England, without regard to conflict-of-law rules.

The User acknowledges that Black Day Card is not registered or licensed in all jurisdictions, and therefore certain consumer protection or financial regulation rules may not apply, depending on Black Day Card’s country of incorporation.

11.2 Mandatory pre-dispute resolution

Before commencing formal proceedings, the User must first attempt to resolve the dispute by contacting Black Day Card support through official channels indicated in the Bot. Black Day Card has up to 30 calendar days to review and respond to such a claim in good faith.

11.3 Arbitration agreement

Subject to completion of the pre-dispute stage, any disputes, disagreements, or claims related to these Terms (including validity, breach, termination, or applicability) shall be finally resolved by arbitration in accordance with the Rules of the London Court of International Arbitration (LCIA).

The arbitral award is final and binding on both parties and may be enforced in any court of competent jurisdiction.

11.4 Class action waiver

To the maximum extent permitted by law, all claims must be brought on an individual basis, and not as part of a class, collective, or representative action.
The User expressly waives any right to participate in class actions or class arbitration against Black Day Card.

11.5 Urgent and interim relief

Nothing in this section limits either party’s right to seek urgent injunctive relief from the courts of England and Wales to preserve the status quo or prevent irreparable harm pending completion of arbitration.

No wallet custody disclaimer

12.1 Black Day Card is a technical interface

Black Day Card provides access to features — such as asset exchange, card issuance, and payment initiation — through an interface on Telegram and other official channels (the “Bot”).
Black Day Card acts solely as a non-custodial technical interface and provides interaction with third parties and payment channels.

Black Day Card does not provide or operate:

  • hosted wallets or custodial accounts;
  • user-managed blockchain wallet infrastructure;
  • storage of digital assets or fiat funds.

All transactions are executed through third-party platforms. Black Day Card does not receive, hold, or transfer funds directly on the User’s behalf.

12.2 No access to private keys or wallet balances

Black Day Card does not generate, request, store, or control private keys, seed phrases, or wallet credentials.

The User acknowledges that:

  • any wallets associated with the Services are owned and managed either by the User or by third-party services (for example, a card issuer or payment processor);
  • Black Day Card cannot restore wallet access and cannot reverse a transaction after it has been executed;
  • Black Day Card does not control or monitor the availability or balance of user wallets.

The User is fully responsible for the security, confidentiality, and correctness of their wallets and transaction details.

12.3 No fiduciary relationship

Black Day Card does not act as a custodian, trustee, agent, or escrow service provider. Nothing in these Terms or in use of the Services shall be construed as creating fiduciary duties or trust obligations between Black Day Card and the User.

12.4 Third-party payment channels

When the User uses balance-related features (for example, card top-up, asset exchange, balance checks), such balance data is stored and serviced by third-party financial institutions, payment providers, or card issuers under their terms. Black Day Card does not control those balances and is not responsible for:

  • settlement delays;
  • loss of funds held by third parties;
  • insolvency or failures of third-party payment systems;
  • account freezes or seizure of funds pursuant to regulatory orders.

12.5 Irreversibility of transactions

All transactions made through the Bot or Platform are final and irreversible.
Black Day Card cannot intervene to cancel or amend instructions, and does not guarantee settlement timing or outcomes.

Risk disclosure

13.1 Acknowledgement of risk

By using the Services, the User expressly agrees that digital asset transactions (including cryptocurrencies, tokens, and blockchain instruments) involve high risks, including:

  • Price volatility — the value of digital assets may change sharply and unpredictably. Black Day Card does not guarantee any specific price.
  • Irreversibility — blockchain and payment-system transactions cannot be reversed after submission.
  • Technological risks — delays, rejections, or losses of transactions may occur due to network failures, smart-contract errors, or third-party service failures.
  • Regulatory risks — the legal status of digital assets varies by jurisdiction and may change. This may affect the legality or availability of the Services.
  • Security risks — the User alone is responsible for protecting their wallets, private keys, devices, and Telegram account.

13.2 No warranties

Black Day Card gives no warranties as to the availability, accuracy, or timeliness of exchange rates, blockchain confirmations, card processing, or payment channels.
The User is fully responsible for the outcomes of using the Services.

Before starting to use Black Day Card, you should carefully assess your financial position, technical knowledge, and risk level.

No financial advice

The User acknowledges and agrees that:

  • Black Day Card is not a licensed financial adviser, broker, asset manager, or investment firm;
  • the Services are provided solely as a technical means of executing operations, without advice or recommendations.

No communications from Black Day Card, including data from the Bot, support, or other sources (including quotes, sample transactions, and automated suggestions), constitute:

  • financial, investment, or legal advice;
  • a recommendation to buy, sell, or hold any particular asset;
  • an endorsement of the reliability of any third-party platform or protocol.

All User actions are taken at the User’s own risk. Black Day Card is not responsible for losses caused by such decisions.
It is recommended that you consult independent legal, financial, and tax advisers.

Liability and indemnification

If an unauthorized or erroneous payment occurred due to Black Day Card’s fault, the Client may request an immediate refund, including fees.
This does not apply if:

  • the Client did not report the issue without undue delay, and losses were incurred before notifying Black Day Card;
  • the Client themselves compromised the security of their Black Day Card account (intentionally or through gross negligence);
  • the Client did not dispute the transaction within 12 months of the date it was made.

If a transaction occurred after Black Day Card was notified of a security breach (allowing reasonable processing time), Black Day Card is liable and must refund the funds.

The Client should regularly review their transaction history and contact support when needed.
In the case of erroneous or misdirected payments, Black Day Card will use reasonable efforts to trace and recover funds.

The Client agrees to indemnify Black Day Card for losses, expenses, and claims (including legal costs) caused by breach of the Terms, law, or misuse of the Services. This obligation survives termination of the relationship with Black Day Card.

If the Client is a legal entity, an authorized officer confirms that they have authority to act on behalf of the organization and acknowledges that Black Day Card must not be used for:

  • sales under another brand or an undisclosed name;
  • transactions that violate applicable law.

Limitation of financial liability

Black Day Card’s financial liability to the Client is limited, except where expressly required by law.
Black Day Card is not liable for:

  • indirect, incidental, punitive, or consequential damages;
  • lost profits, business interruption, or reputational harm;
  • losses due to changes in law, currency fluctuations, system failures, or third-party actions.

Maximum liability is limited to the minimum amount required by law.
If applicable law requires otherwise, Black Day Card will limit its liability to the minimum extent permitted.

The User acknowledges that Black Day Card is not liable for:

  • consequences of unauthorized transactions;
  • security breaches not reported in time;
  • the User’s failure to comply with these Terms.

Force majeure

Black Day Card is not responsible for failures caused by circumstances beyond its control, including:

  • natural disasters (floods, earthquakes, hurricanes);
  • pandemics, epidemics, quarantines;
  • military conflicts, invasions, riots, terrorist acts;
  • strikes, labor disputes;
  • government actions, sanctions, currency restrictions;
  • infrastructure failures, fuel shortages, or supply disruptions;
  • cyberattacks, internet outages, software errors;
  • bank and payment-system insolvencies;
  • asset freezes pursuant to court or regulator orders.

Black Day Card will take reasonable steps to minimize the impact, but is not liable for losses caused by such events.
If force majeure continues for a prolonged period, Black Day Card may suspend or discontinue the relevant services without liability.

Miscellaneous

Severability: If any part of the Terms is held invalid or unenforceable by a court, the remaining provisions remain in force.
Unenforceable terms shall be replaced with terms closest in meaning that are permitted by law.

Survival: All provisions that by their nature should survive termination of the agreement (limitation of liability, confidentiality, dispute resolution, etc.) continue in effect.

Assignment: The Client may not assign their rights and obligations under the Terms without Black Day Card’s written consent.
Black Day Card may assign its rights and obligations to third parties without the Client’s consent.

Black Day Card support is provided exclusively through official digital channels indicated in the Bot and on official Platforms.

Official support contacts:

Support hours: 07:00 to 22:00 CET, daily, except weekends, holidays, force majeure, or technical outages.

Phone, social media, or unofficial channel support is not provided.
Such contacts are not official and create no obligations for Black Day Card. Black Day Card may request additional information for verification or compliance procedures.
Users are responsible for the availability of their communication channels and must ensure they do not block messages from Black Day Card.
